    Abstract

    Amongst the many things that can be formulated about interpretation, it appears that it always mirrors the general orientation of a given legal system: contractual hermeneutics and differences in the interpretative methods not only highlight different balances of the interests at stake, but also underpin issues related to the role of interpretation as a tool within a given legal system. Therefore, the different approach characterising both Common Law and Civil Law is simplifying, because of the heterogeneity in the interpretative rules, with consequences touching upon themes such as certainty and predictability on the one hand, and flexibility and farness of the interpretative outcome on the other hand. The theme of interpretation, in this respect, mirrors the role assigned by the legal system to the private autonomy of the parties involved: the hermeneutic procedure reconstructs the body of the contract. The enquiry that follows, after some introductive and comparative hints, focuses on the topic of contractual interpretation within the Italian legal system, starting off with the role covered by the principles of the Civil Code within contractual hermeneutics, evaluating the preceptive extent, also taking into account case-law practiced by the High Court. Finally, the enquiry moves onto the reading of norms, as they fall under two macro-categories of interpretative rules – subjective and objective criteria – and explores their relationships within the hermeneutic process. O momento interpretativo reflete, dentre outros aspectos, as orientações gerais do ordenamento: a hermenêutica contratual e a divergência dos métodos interpretativos não somente denotam os diversos balanceamentos dos interesses em jogo, porém confrontam problemáticas relativas ao papel do instrumento interpretativo no ordenamento jurídico. Neste sentido, numa ótica comparada, a título de exemplo pode ser mencionado o enfoque diferente que caracteriza os sistemas de Common Law e de Civil Law, com respeito aos quais se delineia uma heterogeneidade substancial entre as regras de interpretação, com repercussão nos temas da certeza e previsibilidade por um lado; flexibilidade e justiça do êxito interpretativo por outro. O tema da interpretação, desta forma, reflete o papel atribuído pelo ordenamento à autonomia privada das partes: ao procedimento de hermenêutica é concedido, de fato, o papel de reconstruir a capacidade do contrato. A análise que segue, após uma breve introdução e uns aspectos de direito comparado, concentra-se na disciplina da interpretação do contrato no ordenamento italiano, partindo do papel exercido pelas normas do código civil na hermenêutica contratual, considerando-se a capacidade preceptiva ainda à luz da jurisprudência da Suprema Corte. A segunda parte concentra-se, enfim, na leitura das normas em si, enquanto reconduzíveis ao interior de duas macro categorias de regras interpretativas – critérios subjetivos e objetivos – e às relativas relações dentro do processo hermenêutico.
